OpenAI's $3B Windsurf deal collapses; Google hires the founders instead

The most-watched acquisition in AI coding dies at the deadline — and within hours, Google DeepMind announces it has hired Windsurf's CEO and core R&D team in a $2.4 billion reverse-acquihire.

OpenAI’s planned $3 billion acquisition of Windsurf — the AI coding startup formerly known as Codeium — is dead. The exclusivity window expired, and the deal that would have been OpenAI’s largest ever quietly evaporated.

The reason, per multiple reports: Microsoft. OpenAI’s partnership terms give Microsoft rights to its IP, and neither Windsurf nor OpenAI could stomach the company’s coding technology flowing to the maker of GitHub Copilot, its chief competitor.

Google wasted no time. Within hours, DeepMind confirms it has hired Windsurf CEO Varun Mohan, co-founder Douglas Chen, and senior R&D staff to work on Gemini’s agentic coding efforts — paying a reported $2.4 billion in licensing fees and compensation. Google gets the people and a non-exclusive license; it does not get the company.

Windsurf itself — several hundred employees, real revenue, suddenly founderless — is left standing in the rubble, its future the weekend’s most uncomfortable open question.
